Terms of Service

A clear agreement for using the OnCall Tutors marketplace, dashboards, communications, and tutoring services.

These Terms form a legal agreement between you and Spark Horizon Inc., operating as OnCall Tutors. Please read them before creating an account, requesting or providing tutoring, or using any part of the service.

1. Accepting these Terms

By creating an account or using OnCall Tutors, you agree to these Terms and our Privacy Policy. If you use OnCall Tutors for a student or organization, you confirm that you have authority to act for them. If you do not agree, do not create an account or use the service.

Nothing in these Terms limits a right or remedy that cannot legally be limited under applicable consumer-protection or privacy law.

2. Accounts, eligibility, and minors

  • You must provide accurate information, keep it current, protect your password, and promptly report suspected unauthorized access.
  • Student account holders must be at least 13. A student under the age of majority should use the service with permission and involvement from a parent or legal guardian.
  • Parents and guardians confirm they have authority to connect, manage, or purchase services for each student added to their family.
  • You may not impersonate another person, transfer an account without permission, or create an account after being suspended without our approval.

You are responsible for activity performed through your account unless caused by a failure for which Spark Horizon Inc. is legally responsible.

3. What OnCall Tutors provides

OnCall Tutors provides technology for discovering tutors, sending requests, arranging sessions, communicating, sharing learning materials, creating online meeting links, managing family learning plans, and facilitating payments when enabled.

Tutors provide tutoring as independent service providers and are not employees, agents, or representatives of Spark Horizon Inc. Approval or verification means only that the platform reviewed the information required by its current process; it is not a guarantee of a tutor’s performance, identity, qualifications, availability, or suitability for every student.

We may match, rank, or recommend tutors using subject, grade, availability, rate, reliability, and other relevant platform information. Students and families remain responsible for choosing a tutor and deciding whether a session is appropriate.

4. Tutor responsibilities

Tutors must provide truthful application and qualification information, teach only approved subjects and grade levels, set rates within platform limits, attend accepted sessions, communicate professionally, safeguard student information, and follow all applicable laws and platform safety requirements.

Tutors are responsible for their own taxes, permits, equipment, working environment, and legal obligations as independent providers. Tutors may not request off-platform payment or use information obtained through OnCall Tutors to bypass platform fees or protections.

5. Requests, bookings, plans, prices, and payments

  • A request is not confirmed until the platform shows it as booked or confirmed.
  • The price, session length, tutor payout, platform fees, payment schedule, and any valid benefit or promotion will be shown before the applicable purchase or acceptance.
  • If payment processing is enabled, payments may be handled by Stripe or another disclosed processor under that provider’s terms. OnCall Tutors does not intend to store complete payment-card numbers or security codes.
  • Taxes may be added where legally required. Tutors receive the payout displayed to them, subject to refunds, disputes, chargebacks, lawful withholding, or clearly disclosed adjustments.

Cancellations and refunds

The cancellation window, charge, refund eligibility, and plan-payment schedule displayed for a booking or learning plan at checkout or confirmation form part of your agreement. A late cancellation, missed session, or failure to attend may be chargeable as disclosed. If OnCall Tutors or the tutor cancels, any refund or credit required by the displayed policy or applicable law will be provided.

Users must review and correct booking details before confirming. We will provide transaction information electronically where required. Statutory consumer rights continue to apply.

6. Safety and acceptable use

You must use OnCall Tutors for lawful educational purposes. You must not:

  • harass, threaten, discriminate against, exploit, or endanger another person;
  • share sexual, violent, illegal, deceptive, or otherwise harmful content;
  • cheat, complete prohibited assessed work for a student, or misrepresent authorship or academic achievement;
  • record a session or private communication without every required person’s knowledge and consent;
  • upload malware, probe security, scrape the service, evade access controls, or interfere with operation;
  • share private meeting links, account credentials, or another person’s personal information without authorization; or
  • use the platform to solicit an off-platform arrangement intended to avoid fees, safeguards, or records.

Report urgent safety concerns to local emergency services. OnCall Tutors is not an emergency service.

7. Learning materials and intellectual property

You retain ownership of material you upload. You give Spark Horizon Inc. a limited, non-exclusive licence to host, copy, process, display, and transmit that material only as needed to operate, secure, and support OnCall Tutors. You confirm that you have permission to submit it and that doing so does not violate another person’s rights.

OnCall Tutors, its branding, interface, software, and original platform content belong to Spark Horizon Inc. or its licensors. These Terms give you only a limited, personal, revocable right to use the service as intended. Tutor-created and third-party materials remain subject to their owners’ rights.

8. Privacy, communications, and data

Our Privacy Policy explains what information is collected, why it is used, when limited disclosure is necessary, how it is protected, and how deletion requests are handled. We do not sell personal information or use private schoolwork or chats for unrelated advertising.

Operating the service requires limited processing or disclosure to relevant students, tutors, connected parents, hosting and email providers, Google for Meet-room creation, payment processors when enabled, and authorities where legally required. Data is stored on access-controlled server infrastructure and protected with safeguards appropriate to the information, but no online system can promise absolute security.

You agree to receive essential account, verification, booking, safety, payment, and service messages. Marketing messages, if introduced, will use any consent and unsubscribe controls required by law.

9. Suspension, deactivation, and deletion

You may request account deactivation through available account controls. Subject to the Privacy Policy, personal information is scheduled for deletion within 30 days after a confirmed deletion request, except for records that must be retained for legal, tax, accounting, payment, fraud-prevention, dispute, or safety purposes.

We may restrict or suspend access when reasonably necessary to investigate fraud, protect users, respond to legal requirements, address non-payment, or enforce these Terms. Where appropriate, we will provide notice and a reasonable opportunity to respond. Provisions that logically continue after account closure—including payment obligations, ownership, and dispute terms—remain in effect.

10. Third-party services

The service may use or link to third parties such as Google Meet, email providers, hosting providers, and Stripe. Their separate terms and privacy practices may apply. We are not responsible for an independent third-party service beyond the responsibility imposed on us by applicable law.

11. Service expectations and disclaimers

We work to keep OnCall Tutors reliable and safe, but availability may be interrupted and features may change. Tutoring is educational support; we do not guarantee grades, admissions, test results, employment, tutor availability, uninterrupted access, or a particular learning outcome.

To the fullest extent permitted by law, the service is provided on an “as available” basis. Any legal warranties or conditions that cannot be excluded remain fully applicable.

12. Responsibility and limits

Each user is responsible for losses caused by their unlawful conduct, infringement, misuse of the service, or material breach of these Terms. Spark Horizon Inc. remains responsible where liability cannot lawfully be excluded or limited.

To the fullest extent permitted by law, Spark Horizon Inc. will not be liable for indirect, incidental, special, or consequential loss arising from use of the service. These limitations do not apply to fraud, wilful misconduct, gross negligence, personal injury caused by negligence, violations of non-waivable consumer rights, or any liability that applicable law does not permit us to limit.

13. Governing law and resolving concerns

These Terms are governed by the laws of Ontario and the federal laws of Canada applicable there. The courts of Ontario will have jurisdiction, subject to any right you have under applicable law to bring a claim elsewhere. These Terms do not require mandatory arbitration or prevent participation in a class proceeding where such restrictions are prohibited.

Please contact us first so we can try to resolve a concern quickly. Nothing prevents you from contacting a regulator, consumer-protection authority, privacy commissioner, or court where permitted by law.

14. Changes and general terms

We may update these Terms to reflect service, safety, or legal changes. We will update the date above and provide additional notice before a material change takes effect where required. Continued use after the effective date means acceptance of the updated Terms; if you disagree, you may stop using the service.

If one provision is unenforceable, the remaining provisions continue. A delay in enforcement is not a waiver. These Terms, the Privacy Policy, and transaction-specific disclosures presented to you form the agreement relating to the service.
